The name of this organization shall be the Parent – Teacher – Council organization of Glen Crest Middle School, Glen Ellyn, Illinois, hereafter referred to as the PTC.

Section 1.
a. To promote and advocate for the well being of the students of District 89 in the home, the school and in the community.
b. To develop and provide communication among the students, the teachers and the parents of Glen Crest Middle School.
c. To develop between educators and the community at large, a united effort to secure the highest levels of mental, physical and social education.
d. To emphasize the need for parents and teachers to mutually cooperate in the total education of all students in District 89.

Section 1. The function of the PTC shall be communication, developed and implemented through conferences, committees and projects as defined within the organizational structure.
Section 2. The policies of the PTC shall not interfere with the administration of the school; this does not preclude the presentation of the views of the PTC in keeping with the policies herein.
Section 3. The PTC shall be nonsectarian and nonpartisan. The PTC shall not endorse candidates for public office. The name of this organization, and/or the names of its officers in their official capacity, shall not be used in communication with any political interests.
Section 4. Any funds accumulated beyond those needed to promote and sustain this organization will be spent to support the objectives of the organization.
Section 5. The PTC is to encourage cooperation with student, teacher and parent groups in District 89 and other organizations which would further the PTC objectives as stated in this document.
Section 6. No other organization or groups whose practice or policies are detrimental to the by-laws of this organization may participate in the function of the PTC.
Section 7. No person representing the PTC shall make commitments other than those as defined in the Charter which binds the organization.
Section 8. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
Section 9. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Section 1. Membership is available to any parent or legal guardian of a child who attends Glen Crest Middle School, District 89 Administration and Board members, and each member of the Glen Crest Faculty. There are two levels of membership. Voting and non-voting. Only dues paying members can be voting members.
Section 2. The membership year shall be the fiscal year, from July 1 through June 30.
Section 3. The annual dues of the PTC shall be reviewed by the Executive Board and voted on by the voting membership on a yearly basis. Typically this is done at the May meeting.
Section 4. The honor of serving on the PTC Executive Board should be limited to the voting members, in good standing, of this organization.

Section 1. The Executive Board of the PTC shall consist of the officers: President/co-Presidents, Vice President/co-Vice Presidents, Secretary, Treasurer and Principal.
Section 2. Officers shall be elected annually, by majority vote of the voting members present at the April PTC meeting for a term of one (1) year.
Section 3. Nominations for officers shall be made by a nominating committee, consisting of three (3) members at large and one (1) current elected officers appointed by the presiding President/coPresidents.
a. President/Co-Presidents are encourage to appoint committee members such that an equitable representation is obtained from all areas of District 89.
b. A nominating committee will be appointed no later than the February PTC meeting.
Section 4. The nominating committee shall select and obtain candidate consent and present a slate to the organization at the March PTC meeting and publish the slate to the membership prior to the April PTC meeting.
Section 5. Elections shall be held at the April PTC meeting. Nominations from the floor (with prior consent) will be accepted at that time. Section 6. Installation of the new officers shall take place at the final PTC meeting to be held at the May PTC meeting.

Section 1. The President/co-Presidents shall preside at all meetings of the PTC and the Executive Board. The President/co-Presidents shall be an ex-officio member of all committees except the nominating committee and shall perform duties as prescribed herein. The President/coPresidents shall serve as representatives to the Presidents’ Council of District 89.
Section 2. The Vice President/co-Vice Presidents shall act as an aide to the President/co-Presidents, and serve as acting President in the absence of the elected President/co-Presidents. The VicePresident shall act as the liaison for all committees and chairpersons.
Section 3. The Secretary shall keep and present accurate records of all meetings of the PTC and the Executive Board and any other related duties as may be assigned.
Section 4. The Treasurer shall:
a. Receive all monies of the PTC; keep accurate records of receipts and expenditures; disburse funds in accordance with approved budgets as authorized by the organization.
b. Present a written financial statement of the organization at each meeting or at times as requested by the Executive Board, issue a full report at the last regular meeting.
c. Be notified of disbursements which may be signed by the President/coPresidents in the event of the absence of the Treasurer.
d. At the expiration of his/her term of office, turn over to his/her successor all funds in his/her custody.
Section 5. The Executive Board shall appoint a person not affiliated with the PTC Board to audit the Treasurer’s Annual Report and Records at the end of the school year. This person, upon satisfaction of accuracy, shall sign the report for certification.

Section 1. Responsibility for carrying out the objectives of the PTC shall be vested in a Board consisting of the Principal, elected officers, and all committee chairpersons. The PTC Board shall follow the policies of the PTC.
Section 2. Tenure of this PTC Board is effective from July 1 through June 30 and shall serve for a term of one (1) year.
Section 3. Vacancies of the Board shall be filled by appointment of the PTC President/co-Presidents.

Section 1. Regular board meetings of the PTC may be held monthly during the school year, on a date designated by the Executive Board, or at the discretion of the Executive Board.
Section 2. The Executive Board shall meet as needed.
Section 3. Special Meetings of the PTC may be held at the call of the President/co-Presidents, or by a majority of the Board Members or if two thirds (2/3) of the Board members have been contacted. Not less than 3 days notice shall be given.
Section 4. The meetings of the PTC shall be open to the general public, but the privilege of holding office, introducing motions and voting, shall be restricted to voting members as defined in Article IV, Section 1.

Section 1. Roberts Rules of Order shall govern this organization.
Section 2. The voting members present at any scheduled meeting of the PTC constitute a quorum.

This charter may be amended at any scheduled meeting, providing that such proposed amendments be announced to all members of the PTC at least thirty days (30) prior to a scheduled meeting.

The fiscal year of the PTC shall coincide with the School District 89 fiscal year, July 1 through June 30.
